The over-the-counter stock market system operating in the USA. Trading is executed through a computer network connecting market makers who make markets in companies traded on this electronic stock exchange. It is the largest stock market in the world when defined in terms of number of companies quoted or number of market makers.

Net Asset Value

The value of a fund or company based on its assets minus its liabilities. In mutual funds, NAV represents the price at which investors can redeem their shares. It is calculated by dividing the net value by the number of outstanding shares.

With the introduction of CREST in 1996, a new settlement system for the buying and selling of shares, transactions can be settled electronically. This is quicker and cheaper than issuing paper share certificates. If you use a nominee service, your shares are held in the nominee company's name. You remain the beneficial owner of the shares and are eligible for compensation in the same way you would be if they were held in your own name. This also enables the nominee service to deal with all the administrative paperwork on your behalf.

Nominee Company

A company formed by a bank or other organisation for the purpose of holding shares on behalf of the beneficial owner. Nominee company employees carry out all the paperwork and other chores associated with the documentation of shareholding and arrange for necessary transfers when a share is sold.
